The (Management Company) Selection Committee has been formed for the purpose of establishing a Management Agreement contract.
The Palisades current contract is with Sentry Management. This contract currently expires on March 31, 2020. This contract was to automatically renew for one (1) year, if no notice of termination is given the contract is to auto renew on an annual basis however, Sentry is proposing a new offer with new terms & conditions and, pricing (door fee remains the same).
This Committee is comprised of Stephen Paige (Chair) and Joaquin Mantovani (Resident and past President). The Chair has created an RFP for services and has distributed it to five (5) companies that specialize in Agent services. Beyond the response from Sentry, responses have also been received from Evergreen Lifestyle Mgmt., Don Asher & Assoc., and Reliable Association Mgmt.; two others are still outstanding for delivery.
The Committee will organize all responses in a manner for ease of review by the Board. The Committee will then arrange for one-on-one meetings for the Officers of the Board (meeting will be limited to four (4) Board Members only). The final recommendation(s) will be presented to the Board for vote. It is the intent to have the Board vote at a special meeting to be announced and held prior to our May meeting, or to hold the vote in the May meeting – whichever is more convenient to the Board.
Of importance to NOTE:
Since the Board had not given Sentry a Notice of Termination within 30-days of contract expiration, they would be required to pay a fee equal to 3-months service as a termination fee; this does not mean that Palisades would receive 3-months of continued service from Sentry.
The Proposal provided by Sentry, being “unsolicited” may constitute legal basis for their waiver of the Termination Fee since it appears that they are not willing to follow the Ts&Cs of the current contract which states that an automatic extension of 1-yr would take place; this is a totally new contract with new Ts&Cs being offered.
Palisades LLC needs a written agreement from Sentry that they will enter into a Month-to-Month contract with us for the next 60-90 days, at the current rates in the existing contract. This Agreement should state a termination period or state that a 30-day advance notice is required for termination with a Not To Exceed date for continuation of Month-to-Month. NO VERBALS. NO HANDSHAKES.
Item #3 above needs to be accomplished prior to March 31, 2020; during this period the Board may want to seek legal opinion on item #2.
